Platform Terms of Use

Effective Date: March 14, 2026

These Terms of Use ("Terms") govern access to and use of the Momentum platform, website, reports, data, and related materials (collectively, the "Platform") provided by Momentum Playbook Inc. ("Momentum", "we", "our", or "us").

By creating an account, accessing the Platform, or using any Momentum materials, you agree to these Terms. If you do not agree, you may not access or use the Platform.

1. ELIGIBILITY

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organization. If you are accessing the Platform on behalf of a company or organization, you represent that you have the authority to bind that organization.

2. ACCESS TO THE PLATFORM

Momentum may provide users with access to certain reports, analyses, data, and evaluation materials relating to healthcare services vendors and related topics (the "Materials"). Access may be provided through free accounts, evaluation access, or paid subscriptions. Momentum may modify, suspend, or discontinue access to the Platform at any time.

3. LICENSE TO USE MATERIALS

Subject to these Terms, Momentum grants you a limited, non-exclusive, non-transferable, non- sublicensable license to access and use the Materials solely for your organization's internal evaluation and business purposes.

You may not:

  • sell, license, sublicense, or redistribute the Materials
  • publish the Materials publicly
  • provide the Materials to third parties outside your organization
  • create derivative works based on the Materials
  • reverse engineer, decompile, or attempt to extract Momentum's methodologies or scoring models
  • use automated tools, scraping, or data extraction methods to collect Platform data
  • use the Materials to build a competing product or service

4. MOMENTUM INTELLECTUAL PROPERTY

The Platform, Materials, evaluation frameworks, methodologies, scoring systems, reports, and all related intellectual property are owned exclusively by Momentum. No rights are granted other than the limited license described in these Terms.

5. CONFIDENTIALITY

The Materials and underlying evaluation methodologies constitute Momentum confidential information. You agree not to disclose, distribute, or share Materials outside your organization without Momentum's prior written consent.

6. INFORMATIONAL PURPOSES ONLY

The Materials are provided for informational and evaluation purposes only. Momentum does not provide investment advice, actuarial certification, medical advice, or legal advice. Users are solely responsible for evaluating any healthcare vendor, product, or service.

7. DISCLAIMER OF WARRANTIES

The Platform and Materials are provided "AS IS" and "AS AVAILABLE". Momentum makes no warranties of any kind, whether express, implied, or statutory, including any warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Momentum will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption. Momentum's total liability arising out of or related to these Terms will not exceed $100.

9. TERMINATION

Momentum may suspend or terminate your access to the Platform at any time if you violate these Terms or misuse the Platform. Upon termination, your right to access the Platform and Materials will immediately cease.

10. GOVERNING LAW

These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved in the courts located in Hennepin County, Minnesota.

11. CHANGES TO TERMS

Momentum may update these Terms from time to time. Continued use of the Platform after such updates constitutes acceptance of the revised Terms.
